1. Agreement
These Terms of Service (“Terms”) govern access to and use of the OpsRent website, software platform, applications, APIs, and related services (collectively, the “Services”) provided by Ops Rent LLC (“OpsRent”, “we”, “us”, or “our”).
By creating an account, signing an order form, or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization.
2. The Services
OpsRent provides software designed to help rental businesses manage fleet operations, bookings, vehicle handovers and returns, maintenance, documents, corporate accounts, and operational reporting.
We may modify or improve the Services from time to time. If a change materially reduces core functionality during a paid subscription term, the applicable customer agreement may provide additional rights.
3. Accounts and access
- You must provide accurate account and business information and keep it reasonably current.
- You are responsible for protecting account credentials and for activity performed through your account.
- You must not share credentials in a way that bypasses account limits or security controls.
- You must promptly notify OpsRent of suspected unauthorized access or security incidents affecting your account.
- Workspace administrators may control users, permissions, and access to customer data within their organization.
4. Customer data
You retain your rights in data and content that you submit to the Services (“Customer Data”). You grant OpsRent the limited rights necessary to host, process, transmit, display, back up, and otherwise provide the Services.
You are responsible for Customer Data, including its accuracy, legality, and your authority to collect and process personal information contained in it.
5. Acceptable use
You may not use the Services to violate applicable law, infringe another person's rights, introduce malicious code, attempt unauthorized access, interfere with the Services, circumvent security controls, or use the Services in a way that creates an unreasonable security or operational risk.
You must not reverse engineer or attempt to discover source code except to the extent such restriction is prohibited by applicable law.
6. Third-party services
The Services may interoperate with third-party products or services. Your use of those services is subject to their own terms and privacy policies. OpsRent is not responsible for third-party services that are outside our reasonable control.
7. Fees and payment
If you purchase a paid subscription, pricing, billing frequency, applicable taxes, renewal terms, and payment terms will be stated on the applicable order form, pricing page, or subscription agreement.
Unless otherwise agreed, subscription fees are payable according to the agreed billing schedule. Taxes, duties, or similar charges may apply where required by law.
8. Intellectual property
OpsRent and its licensors retain all rights in the Services, including software, interfaces, designs, trademarks, documentation, and related intellectual property. These Terms grant you a limited right to use the Services during the applicable subscription period. They do not transfer ownership of OpsRent intellectual property to you.
9. Feedback
If you provide suggestions or feedback about the Services, you allow OpsRent to use that feedback without restriction or obligation, provided that doing so does not disclose your confidential information.
10. Confidentiality
Each party may receive non-public information from the other party. Each party agrees to use reasonable care to protect confidential information and use it only for purposes related to the business relationship, subject to customary exceptions for information that is public, independently developed, already known, or required to be disclosed by law.
11. Security and availability
OpsRent maintains security measures designed to protect the Services and Customer Data. Details of applicable controls may be described in security documentation or customer agreements.
Unless a separate service level agreement applies, the Services are provided without a guaranteed uptime commitment. We may temporarily suspend access when reasonably necessary for security, maintenance, legal compliance, or prevention of harm.
12. Suspension and termination
Either party may terminate a subscription according to the applicable order or subscription terms. OpsRent may suspend or terminate access for material breach, non-payment, security risk, unlawful use, or other circumstances permitted by the applicable agreement.
After termination, access to Customer Data and deletion or export options will be handled according to the applicable agreement and retention requirements.
13. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis and OpsRent does not guarantee that the Services will be uninterrupted, error-free, or suitable for every business process. Operational decisions remain the customer's responsibility.
14. Limitation of liability
To the maximum extent permitted by applicable law, each party's liability will be limited as specified in the applicable order, subscription agreement, or other written agreement. If no separate limitation applies, the final Terms should contain a commercially appropriate liability cap and exclusions reviewed by qualified counsel.
15. Indemnification
Where applicable, the parties' indemnification obligations should be defined in the customer agreement, including scope, exclusions, procedures, and control of claims. This section must be reviewed and finalized for OpsRent's actual contracting model.
16. Governing law and disputes
These Terms are governed by the laws of the State of California, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California, and each party consents to personal jurisdiction and venue in those courts.
This governing law and venue selection should be confirmed by OpsRent's legal counsel before this Agreement is treated as final.
17. Changes to these Terms
We may update these Terms from time to time. Where changes are material, we will provide notice as required by applicable law or contract. Continued use of the Services after the effective date of an update constitutes acceptance where permitted by law.
